1. Acceptance of Terms

By accessing or using Quby (“the Service”), available at www.quby.app and studio.quby.app, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Quby regarding your use of our AI-powered creative tools platform. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.

2. Description of Services

Quby provides AI-powered creative tools including, but not limited to:

• Image generation and editing tools
• Video creation and manipulation features
• Background removal and replacement
• Voice cloning and text-to-speech
• 3D model generation
• Upscaling and enhancement tools
• Character and face swapping
• Sketch-to-app conversion

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You must be at least 18 years old to create an account. We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Payment Terms

Quby offers both free and paid services. For paid features:

• Credits: Our platform operates on a credit-based system. Credits are purchased in advance and consumed when using AI tools.
• Subscriptions: Premium subscriptions are billed on a recurring basis (monthly or annually) until cancelled.
• Refunds: Unused credits and current subscription periods are generally non-refundable, except as required by applicable law or at our discretion.
• Price Changes: We may modify pricing at any time. Existing subscribers will be notified 30 days before any price changes take effect.

All payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service.

5. Intellectual Property

Your Content

You retain ownership of any content you upload to the Service (“User Content”). By uploading content, you grant Quby a non-exclusive, worldwide, royalty-free license to use, process, and store your content solely to provide the Service.

Generated Content

Subject to your compliance with these Terms and applicable payment, you own the output generated by our AI tools based on your inputs. You may use generated content for personal and commercial purposes.

Our Property

The Service, including all software, algorithms, designs, and trademarks, is owned by Quby and protected by intellectual property laws. You may not copy, modify, or reverse engineer any part of the Service.

6. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Create deepfakes or deceptive media intended to mislead others
• Infringe upon the intellectual property rights of others
• Generate child sexual abuse material (CSAM) or any content sexualizing minors
• Harass, stalk, or harm any individual
• Violate any applicable laws or regulations
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated means to access the Service without permission

We employ content moderation systems and reserve the right to remove any content that violates these policies without notice.

7. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.
• Quby shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
• We do not guarantee the accuracy, quality, or reliability of AI-generated content.

8. Indemnification

You agree to indemnify and hold harmless Quby, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Service will cease immediately. You may request deletion of your account and associated data by contacting us at support@quby.app.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive any right to participate in class action lawsuits against Quby.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting a notice on our website or sending an email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
